Terms of Use

1. Preamble

Umebi, Lda., headquartered in Lisbon, operates the digital platform Umebi (the “Platform”), which acts solely as an intermediary between end‑users (“Users”) and duly licensed mental‑health professionals (“Professionals”). By accessing or using the Platform, the User confirms that they have read, understood and fully accept these Terms of Use (“Terms”).

2. Definitions

UserA natural person who creates an account to book or attend mental‑health sessions.
ProfessionalA mental‑health provider validated by Umebi (OPP licence, clean criminal‑record certificate, diplomas).
SessionA video, chat or audio consultation between a User and a Professional.

3. Eligibility and Access

  • The service is available only to individuals aged 18 or over.
  • Minors may participate exclusively with the written consent of their legal representative and a copy of the representative’s ID.
  • By registering, the User warrants that they have the legal capacity to enter into these Terms.

4. Services Provided

  1. Intermediation – Tools for discovering, scheduling and paying for Sessions.
  2. No medical advice – Umebi does not provide healthcare, does not issue diagnoses and is not a substitute for in‑person consultation. In emergencies, call 112 or attend the nearest emergency department.
  3. Technical support – Umebi’s responsibility is limited to maintaining infrastructure (video, chat, payments).
  4. Third‑party tools – The Platform integrates external services (e.g. Stripe, Vercel, Google Analytics) governed by their own terms.

5. User Obligations

Users agree to:

  • Provide accurate and up‑to‑date information;
  • Keep login credentials confidential and notify unauthorised use;
  • Use the Platform ethically and in compliance with the law;
  • Refrain from harassment, hate speech or other misconduct;
  • Refrain from interfering with, exploiting vulnerabilities in or reverse‑engineering any part of the Platform.

Non‑compliance may result in suspension or permanent termination of the account.

6. Scheduling, Cancellation and Refunds

  • Rescheduling – Free of charge up to 24 hours before the Session.
  • Cancellation by the User – Full refund only if requested at least 24 hours before the Session; after that, no refund is due.
  • Cancellation by the Professional – Allowed up to 24 hours before the Session; after that, the Session is deemed confirmed.
  • Technical failure attributable to Umebi or the Professional – The User may reschedule or obtain a full refund.
  • No‑show or User fault – No refund is due.
  • Refund processing – Via the original payment method within 7 business days, in line with Portuguese Decree‑Law 24/2014.
  • Cancellation channel – Requests must be submitted via the user dashboard or e‑mail to support@umebi.com.

7. Professional Conduct and Liability

  • Professionals act as independent contractors, not employees of Umebi.
  • Umebi verifies credentials during onboarding and monitors feedback but does not guarantee clinical outcomes.
  • Complaints: support@umebi.com (reviewed within 10 business days; possible sanctions include warning, suspension or removal).
  • Umebi is not liable for the content, quality or consequences of Sessions.

8. Platform Availability and Force Majeure

  • Target 99.5 % uptime; uninterrupted service is not guaranteed.
  • Scheduled maintenance is announced at least 24 hours in advance, except in emergencies.
  • Umebi is not liable for outages caused by suppliers, force majeure or events beyond reasonable control but will use best efforts to restore service promptly.

9. Data Protection and Security

  • Personal data is processed in accordance with the Umebi Privacy Policy and the GDPR (Arts. 28 and 33).
  • Data‑breach notifications are issued within 72 hours.
  • Best practices for Users: keep credentials safe, use strong passwords, report incidents to privacy@umebi.com.
  • Personal data that Users or Professionals publish publicly on the Platform — such as name, profile photo or comments — may be reused by Umebi in other contexts (including promotional materials) without additional permission requests. By making this data public, the data subject accepts such use. If you do not wish your public data to be shared in this way, email privacy@umebi.com requesting exclusion, which will be handled without undue delay.

10. Intellectual Property

All source code, trademarks, logos, text and other content are owned by Umebi or its licensors. Users receive a limited, non‑exclusive, non‑transferable licence for personal, non‑commercial use only.

11. Suspension and Termination

Umebi may suspend or terminate accounts that:

  • Violate these Terms or the law;
  • Engage in abuse or fraud;
  • Create legal risk for Umebi.

Upon termination, access rights cease immediately. Provisions on intellectual property, liability and jurisdiction survive.

12. Disclaimer of Warranties

The Platform is provided “as is”. Umebi disclaims all warranties, express or implied, including fitness for a particular purpose. Use is at the User’s sole risk.

13. Limitation of Liability

To the fullest extent allowed by consumer‑protection law, Umebi and its representatives shall not be liable for indirect, special or consequential damages or lost profits arising from:

  • Use or inability to use the Platform;
  • Acts or omissions of Professionals;
  • Technical failures or unauthorised access;
  • Events beyond reasonable control.

Umebi’s total liability is limited to the greater of €500 or the total amount paid by the User in the 12 months preceding the event, unless mandatory law provides otherwise.

14. Indemnification

The User shall indemnify Umebi for losses arising from:

  • Breach of these Terms;
  • Misuse of the Platform;
  • Infringement of third‑party rights.

15. Amendments

Umebi may update these Terms, providing 30 days’ notice by e‑mail or in‑app. Continued use after the effective date constitutes acceptance.

16. Governing Law, Jurisdiction and ADR

  • These Terms are governed by Portuguese law.
  • Disputes shall be submitted to the competent Portuguese courts of the User’s domicile or, failing that, Lisbon, without prejudice to mandatory consumer‑protection rules.
  • Users may also resort to Alternative Dispute Resolution (ADR) entities listed under Law 144/2015 or the EU ODR platform (https://ec.europa.eu/consumers/odr).

17. Final Provisions

If any clause is deemed invalid, the remaining clauses remain in force. Failure by Umebi to enforce any right does not constitute a waiver.

18. Language Disclaimer

In case of doubt, inconsistency or misunderstanding arising from linguistic nuances, the original Portuguese (Portugal) version of these Terms of Use shall prevail.
